Governance Charter Summary

1. Purpose

To summarise, in one place, how KindPath is governed — who is accountable for what — pending full Board/Committee establishment. This document sits alongside, and does not replace, KindPath’s constitution as an incorporated association and its ACNC obligations once registered.

2. Legislative and standards basis

  • Associations Incorporation Act 2009 (NSW).
  • NDIS Practice Standards, Module 2: Governance and Operational Management.
  • Australian Charities and Not-for-profits Commission Act 2012 (Cth), once ACNC-registered.

3. Current governance structure

KindPath is an incorporated association (NSW) with a constitution lodged with NSW Fair Trading. As at this document’s date: - Public Officer / Director: Samuel Cross — accountable contact point for the association, statutory record-keeping, and day-to-day operational decisions. - Committee: in the process of being finalised as part of ACNC registration. Until a full committee is active and meeting, major decisions (service delivery commitments, financial commitments over a set threshold, policy approval) are made by the Director and documented, rather than left undocumented on the basis that “there’s no committee yet.” - Register of members and Register of committee members: maintained per the Associations Incorporation Act 2009 requirements; kept current as committee composition changes. - Conflict of interest disclosures: recorded in the Conflict of Interest Register (Module 6) as required by the Act and by NDIS governance standards.

5. Committee establishment plan

  • Finalise committee composition and lodge outstanding NSW Fair Trading / ACNC paperwork (tracked in Compliance & Risk Framework).
  • Once active, the committee formally ratifies this folio and takes on the oversight functions currently sitting solely with the Director (financial oversight, risk oversight, conflict of interest management, policy approval).
  • Board Terms of Reference to be drafted once committee composition is confirmed — placeholder, not yet built, tracked as an action item.
